1. Acceptance of Terms
By accessing or using AgentReady (the "Service"), available at agentready.site, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.
By creating an account or using any part of the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into a binding agreement.
2. Description of Service
AgentReady provides AI readiness scanning, analysis, and optimization tools for websites. The Service crawls publicly available website content and evaluates how well a site is structured for visibility in AI-powered search engines, chatbots, and AI agents. Features include AI readiness scoring, ongoing monitoring, competitor analysis, score trend tracking, code snippet generation for deployment (schema markup, llms.txt, meta tags), and optimization recommendations. The specific features available to you depend on your subscription plan.
3. Account Terms
To access certain features of the Service, you must create an account through our authentication provider, Clerk. By creating an account, you agree to:
- Provide accurate, current, and complete registration information
- Maintain the confidentiality and security of your account credentials
- Promptly notify us of any unauthorized access to or use of your account
- Accept full responsibility for all activities that occur under your account
- Maintain only one account per individual (duplicate accounts may be merged or terminated)
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period, with reasonable notice when possible.
4. Subscriptions and Billing
4.1 Free Tier
AgentReady offers a free tier with limited scan functionality. Free accounts are subject to usage limits including scan frequency caps and restricted access to advanced features. Free tier features and limits may change at any time without prior notice.
4.2 Paid Subscriptions
Paid plans are billed on a monthly recurring basis through Stripe. By subscribing to a paid plan, you authorize AgentReady to charge your designated payment method on a recurring basis until you cancel. All prices are listed on our pricing page and are stated in USD unless otherwise indicated. We may update pricing with at least 30 days written notice to existing subscribers via email. Price changes will take effect at the start of your next billing cycle following the notice period.
4.3 Taxes
Prices may be exclusive of applicable taxes (including VAT). Stripe will calculate and apply the appropriate tax based on your location. You are responsible for any applicable taxes in your jurisdiction.
4.4 Failed Payments
If a recurring payment fails, Stripe may retry the charge according to its retry schedule. If payment cannot be collected after multiple attempts, your account may be downgraded to the free tier. We will notify you via email before any downgrade occurs.
5. Cancellation and Refunds
You may cancel your subscription at any time through your dashboard billing settings. Upon cancellation:
- Your subscription remains active until the end of the current billing period
- You retain access to paid features until the billing period expires
- Your account is automatically downgraded to the free tier at the end of the billing period
- Your scan history and data are preserved and remain accessible under free tier limits
We do not provide prorated refunds for partial billing periods. If you believe you were charged in error or experience a technical issue that prevented you from using the Service, contact us at legal@agentready.site within 14 days of the charge and we will review your request.
6. Acceptable Use
You agree not to use the Service to:
- Scan websites you do not own or have authorization to scan at a frequency that could constitute abuse or harassment
- Attempt to circumvent rate limits, usage quotas, or security measures of the Service
- Use automated scripts, bots, or scrapers to interact with the Service beyond normal API usage permitted by your plan
- Redistribute, resell, white-label, or sublicense access to the Service or its outputs without prior written authorization
- Use the Service for any illegal purpose or in violation of any applicable local, national, or international laws
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts
- Submit malicious URLs, code, or content designed to exploit or harm the Service
- Use scan results to defame, harass, or publicly shame website owners
Violation of these terms may result in immediate suspension or termination of your account without refund.
7. Intellectual Property and Content
The Service, including its design, codebase, scoring algorithms, branding, and original content, is owned by AgentReady and protected by intellectual property laws. You retain full ownership of the websites you scan and any data you upload to the Service.
Regarding generated content and outputs:
- Scan Reports: Reports, scores, and analysis generated by the Service are provided for your use. You may share your own scan results publicly.
- Code Snippets: Schema markup, llms.txt content, meta tags, and other code snippets generated by the Service are licensed to you for deployment on your own websites.
- Restrictions: You may not represent AgentReady outputs as your own product or service, or use them to build a competing service.
8. Affiliate Program
AgentReady offers an affiliate program with recurring commissions. By participating, you agree to:
- Promote the Service honestly, accurately, and in compliance with applicable advertising and disclosure laws (including FTC guidelines)
- Not use misleading, deceptive, or spammy marketing practices
- Not bid on AgentReady branded keywords in paid advertising without prior written permission
- Not create fake accounts, self-referrals, or engage in fraudulent conversion activity
Commission rates, cookie duration (90 days), payout thresholds, and detailed program rules are provided in the Affiliate Program Terms. We reserve the right to modify the program, adjust commission rates, or terminate affiliate accounts for violations at any time.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) AI READINESS SCORES WILL RESULT IN IMPROVED VISIBILITY IN ANY AI SEARCH ENGINE, CHATBOT, OR AI AGENT; (C) REVENUE IMPACT ESTIMATES OR COMPETITOR COMPARISONS ARE GUARANTEED TO BE ACCURATE; OR (D) GENERATED CODE SNIPPETS WILL BE COMPATIBLE WITH ALL WEBSITE PLATFORMS OR CONFIGURATIONS. THE RECOMMENDATIONS AND ANALYSIS PROVIDED BY THE SERVICE ARE INFORMATIONAL AND SHOULD NOT BE CONSIDERED PROFESSIONAL SEO, LEGAL, OR TECHNICAL CONSULTING ADVICE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTREADY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless AgentReady, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit or actions you take through the Service.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include violation of these Terms, non-payment, fraudulent activity, or extended inactivity. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account data after a 30-day grace period (unless earlier deletion is required by law or requested by you); (c) Sections 7, 10, 11, and 12 shall survive termination.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account at least 14 days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.
15. Severability
If any provision of these Terms is held to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. The remaining provisions shall remain in full force and effect.
